1. Agreement to Terms
By accessing, browsing, and using this website, services, platform, and mobile application (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by all of the terms and conditions contained in these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Services.
These Terms constitute the agreement between you and Gaus, Inc. DBA Astor ("Astor," "we," "us," "our," or "Company") regarding your use of the platform and Services. These Terms govern the use of Astor's website, mobile application, and technology platform. If you become a client of Astor's investment advisory services, the terms and conditions of the advisory relationship are governed by the Investment Advisory Contract ("IAC") between you and Gaus, Inc.
Important: Relationship Between Terms and IAC: These Terms govern the technology platform, website, mobile application, account access, billing, and use of the Services. The Investment Advisory Contract governs the investment advisory relationship, including services provided, investment recommendations, advisory obligations, liability for advisory services, and dispute resolution for advisory matters. In the event of any conflict between these Terms and the IAC with respect to investment advisory services, the IAC shall control.
2. Description of Services
Astor is an AI-powered investment advisory platform that leverages artificial intelligence to provide non-discretionary investment recommendations and financial planning tools. Our Services are designed to help you analyze your portfolio, receive AI-generated investment recommendations, and access financial planning resources.
It is critical to understand that Astor operates on a non-discretionary basis. This means:
You retain complete control over all investment decisions
Astor provides recommendations and analysis, but you make the final decision on all investments
Astor does not have authority to execute trades or make investments on your behalf
You are solely responsible for implementing any recommendations or strategies suggested by our platform
Our Services include, but are not limited to: AI-generated investment recommendations, portfolio analysis tools, financial planning resources, market insights, and educational content. Additional features and services may be added or modified at any time.
3. Eligibility
To use the Services, you must meet the following eligibility requirements:
You are at least 18 years of age or the age of majority in your jurisdiction
You are a resident of the United States or otherwise eligible to receive the Services under applicable law
You are capable of forming a legally binding contract
You have not been previously suspended or removed from the Services
You comply with all applicable laws and regulations in your jurisdiction
Before receiving personalized investment recommendations, you must complete Astor's suitability questionnaire. This questionnaire helps us understand your investment objectives, risk tolerance, financial situation, and investment experience. You are responsible for providing accurate and complete information in this questionnaire.
If any information you have provided becomes inaccurate or incomplete, you must update your profile promptly.
4. Account Registration
To access the Services, you may be required to create an account and register with Astor. When registering, you agree to:
Provide accurate, current, and complete information
Maintain and promptly update your registration information to keep it accurate, current, and complete
Maintain the confidentiality of your password and account credentials
Accept responsibility for all activities that occur under your account
Notify Astor immediately of any unauthorized use or access of your account
You are solely responsible for maintaining the security of your login credentials. Astor is not responsible for any unauthorized access to your account due to your failure to maintain confidentiality. If you believe your account has been compromised, contact us immediately at support@astor.app.
5. Subscription and Fees
Astor offers subscription-based robo-advisory portfolio management services at the following rates:

These fees are flat subscription fees and are not performance-based. Fees are charged in advance on a subscription basis.
Billing and Payment:
For subscriptions purchased through Astor's web application, fees are charged monthly or annually and automatically billed to your selected payment method
For subscriptions purchased through Astor's mobile application, fees are processed exclusively through Apple's In-App Purchase system and billed by Apple to your Apple-linked payment method
You authorize Astor (or Apple, as applicable) to charge the payment method you have provided for these fees
Billing Cycle: Your subscription will automatically renew at the end of each billing cycle unless you cancel. Fees are charged in advance and earned over the applicable billing period.
Cancellation and Refunds:
You may cancel your subscription at any time through your account settings or by contacting support@astor.app
Unless you request immediate termination, advisory services will continue through the end of the then-current billing period
Clients may terminate the Investment Advisory Contract within five (5) business days of signing for a full refund of Astor's fees
After the initial five (5) business day period, if you request immediate termination during a billing period, Astor will terminate advisory services promptly and refund the full subscription fee for that billing period
For subscriptions purchased through Astor's web application, refunds are processed by Astor to your original method of payment
For subscriptions purchased through Astor's mobile application, refunds are subject exclusively to Apple's In-App Purchase and refund policies, which Astor does not control
Price Changes: Astor reserves the right to change subscription fees with thirty (30) days' notice via email or posting on our website. Your continued use of the Services after the notice period constitutes your acceptance of the new pricing. If you do not accept the new pricing, you must cancel your subscription before the change takes effect.
Third-Party Fees: You are responsible for the payment of all third-party fees including custodian fees, brokerage fees, mutual fund fees, transaction fees, and other fees separate and distinct from Astor's subscription fees. Please see Item 12 of Astor's Form ADV Part 2A regarding broker-dealer/custodian fees.
6. Investment Advisory Services
Investment advisory services are provided through Gaus, Inc., an SEC-registered investment adviser with CRD #338424. Astor's services are provided on a non-discretionary basis only, meaning we do not have authority to buy, sell, or exchange securities or other investments on your behalf.
The terms and conditions of the advisory relationship, including Astor's obligations to you as a client, are set forth in the Investment Advisory Contract ("IAC"). The IAC, together with Astor's Form ADV Part 2A (Firm Brochure) and Form CRS, governs the advisory relationship. As described in our Form ADV Part 2A, Gaus, Inc. has a fiduciary duty under the Investment Advisers Act of 1940 with respect to all client accounts. Nothing in these Terms is intended to limit or waive that fiduciary duty.
Key Characteristics of Our Services:
Non-Discretionary: You must approve all investment decisions and are solely responsible for implementing recommendations
AI-Powered Recommendations: Our platform uses artificial intelligence to generate recommendations based on your profile and market data
Suitability Requirement: We require you to complete a detailed suitability questionnaire before providing personalized recommendations
No Performance Guarantee: We do not guarantee any specific level of performance, investment returns, or financial outcomes
All Investments Involve Risk: Past performance does not guarantee future results. All investments involve risk of loss, including loss of principal
You acknowledge that:
Investment recommendations are based on information you provide and AI analysis
Recommendations may not be suitable for all investors
You are responsible for evaluating the suitability of recommendations for your circumstances
You should carefully review all recommendations before making investment decisions
Your investment decisions and the consequences thereof are your responsibility
7. AI-Powered Services
Astor's Services incorporate artificial intelligence and machine learning technologies to generate recommendations, perform analysis, and provide insights. You acknowledge and understand that:
AI Output Disclaimer: AI-generated outputs are based on algorithms, data inputs, historical patterns, and statistical models
May Not Be Perfect: AI outputs may not always be accurate, error-free, or up-to-date. AI systems can make mistakes and may miss important information
AI as a Tool: Astor's AI is a tool used by Gaus, Inc. to deliver its advisory services. The AI itself is not a registered investment adviser or legal entity. Gaus, Inc. maintains responsibility for all recommendations provided through the platform, as described in our Form ADV Part 2A
Limited to Input Data: AI recommendations are limited by the quality and completeness of data you provide
Algorithm Limitations: AI may not account for all factors relevant to your financial situation, personal circumstances, or life changes
Market Conditions: AI analysis may not fully account for rapidly changing market conditions or unprecedented events
AI Limitations: While Astor's AI is designed to deliver data-driven investment recommendations under the supervision of Gaus, Inc., AI systems have inherent limitations. You should carefully review all recommendations before making investment decisions. For more detailed information about AI limitations and disclosures, please refer to our AI Disclosures page available on www.astor.app.
As a non-discretionary adviser, Astor provides recommendations, but you retain full control over all investment decisions and are responsible for the decisions you make.
8. Intellectual Property
All content, materials, features, functionality, and design of the Services, including but not limited to text, graphics, logos, images, software, code, user interfaces, and trade secrets, are the exclusive property of Gaus, Inc. or its licensors and are protected by international copyright, trademark, trade secret, and other intellectual property laws.
Limited License: Subject to your compliance with these Terms, Astor grants you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes only.
Restrictions: You agree not to:
Modify, reproduce, distribute, or transmit any content without prior written permission from Astor
Use any content for commercial purposes or for the benefit of any third party
Remove any copyright, trademark, or proprietary notices
Reverse engineer, decompile, or disassemble any software or technology underlying the Services
9. User Conduct
By using the Services, you agree not to:
Attempt to gain unauthorized access to the Services or related systems or networks
Interfere with or disrupt the integrity or performance of the Services
Engage in data scraping, data mining, or other automated data collection without authorization
Reverse engineer, decompile, or attempt to discover the source code or underlying algorithms
Transmit viruses, malware, worms, or other harmful code
Engage in harassment, threats, or abusive behavior
Violate any applicable laws, regulations, or third-party rights
Use the Services for any illegal, fraudulent, or unethical purpose
Create multiple accounts to circumvent restrictions or manipulate the Services
Impersonate or misrepresent your identity or affiliation
Astor reserves the right to investigate any violation of these Terms and take appropriate action, including suspending or terminating your account and reporting violations to law enforcement.
10. Privacy
Your use of the Services is also governed by Astor's Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, disclose, and safeguard your personal information and non-personal information.
By using the Services, you consent to the collection and use of your information as described in our Privacy Policy. If you do not agree with our privacy practices, please do not use the Services.
We are committed to protecting your information and maintaining the confidentiality of sensitive data. However, no method of transmission over the internet is 100% secure. While we implement industry-standard security measures, we cannot guarantee absolute security.
11. Third-Party Services and Links
The Services may contain links to third-party websites, applications, and services that are not operated by Astor. Astor is not responsible for the content, accuracy, reliability, or practices of any third-party sites or services.
Third-Party Custodians and Brokers: If you use Astor with a custodian or brokerage firm to execute trades or hold assets, that custodian or broker is a separate legal entity and independent contractor. Astor is not responsible for their services, fees, or conduct. Your relationship with any custodian or broker is governed by their separate agreements and terms.
By accessing third-party sites or using third-party services through the Services, you assume all risk and responsibility. Astor does not endorse any third-party sites or services and is not liable for any direct or indirect damages resulting from your use of third-party sites or services.
12. Disclaimer of Warranties
Platform Technology Disclaimers: The technology platform (website, mobile application, and related software) is provided "AS IS" and "AS AVAILABLE" with respect to technical operation and functionality. Astor makes no warranty that:
The platform will be uninterrupted, timely, secure, or error-free
Technical defects or errors will be corrected immediately
The platform will be free from viruses, malware, or other harmful components
The user interface will meet all of your preferences or requirements
You are responsible for implementing appropriate technical safeguards to protect your systems and data when accessing the platform.
Investment Advisory Services: This disclaimer does not apply to Gaus, Inc.'s investment advisory services. Gaus, Inc. represents and warrants that:
It is duly registered as an investment adviser with the SEC (CRD #338424)
Investment recommendations will be based on the information you provide and reasonable analysis
Advisory services will be provided in accordance with applicable law and the Investment Advisory Contract
Gaus, Inc. will act as a fiduciary in providing investment advisory services as required by the Investment Advisers Act of 1940
While Gaus, Inc. does not guarantee any specific investment results or returns, it does warrant that advisory services will be provided consistent with its fiduciary duty and applicable professional standards.
Preservation of Obligations: Nothing in this Section 12 is intended to limit, waive, or disclaim Gaus, Inc.'s fiduciary duty under the Investment Advisers Act of 1940, or any obligations set forth in the Investment Advisory Contract or Form ADV Part 2A. The "AS IS" disclaimer applies only to the technology platform's operation, not to the professional advisory services provided under the IAC.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM THE OPERATION OF THE TECHNOLOGY PLATFORM, INCLUDING BUT NOT LIMITED TO DAMAGES FOR:
Loss of data or information
Loss of use or functionality of the platform
Personal injury or physical harm
Technical failures, system outages, or errors
Any other damages arising from platform operation, even if Astor has been advised of the possibility of such damages
Platform Liability Cap: For claims arising solely from the operation, availability, or technical performance of the website, mobile application, or technology platform (excluding investment advisory services), the total aggregate liability of Astor shall not exceed the greater of: (i) the total amount of fees paid by you to Astor in the six (6) months preceding the claim, or (ii) $500.
Advisory Services Governed by IAC: This Section 13 does not apply to claims arising from Gaus, Inc.'s investment advisory services, investment recommendations, or portfolio advice. All such matters are governed exclusively by the Investment Advisory Contract (IAC). The liability provisions, limitations, and standards applicable to the advisory relationship are set forth in the IAC, not these Terms.
Preservation of Fiduciary Duty: Nothing in these Terms is intended to limit, waive, disclaim, or reduce Gaus, Inc.'s fiduciary duty under the Investment Advisers Act of 1940, or any liability arising from a breach of such duty, gross negligence, willful misconduct, or breach of the Investment Advisory Contract.
This Section 13 applies only to claims related to platform functionality, technology, and website operation. It does not apply to investment advisory services, which are governed by the IAC.
14. Indemnification
You agree to indemnify, defend, and hold harmless Gaus, Inc., its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
Your use of the Services in violation of these Terms
Your violation of these Terms or breach of any representation made by you
Your violation of any applicable law or regulation in connection with your use of the platform
Your infringement or violation of any third-party intellectual property rights or other rights
Any unauthorized access to your account due to your failure to maintain confidentiality of your credentials
Your provision of false, misleading, or inaccurate information to Astor
Your fraudulent or malicious conduct in connection with the Services
This indemnification does not apply to claims arising from Gaus, Inc.'s investment advisory services, recommendations, or advice, which are governed by the Investment Advisory Contract. Astor reserves the right to assume the exclusive defense and control of any indemnified claim. You shall not settle any indemnified claim without Astor's prior written consent.
15. Dispute Resolution
Scope of Arbitration: This Section 15 applies only to disputes arising from the operation, use, or availability of the technology platform, website, mobile application, account access, billing for Services, or these Terms of Service. This arbitration provision does not apply to disputes arising from investment advisory services, investment recommendations, or matters governed by the Investment Advisory Contract (IAC). Dispute resolution for advisory matters is governed by the IAC.
Binding Arbitration for Platform Disputes: By using the Services, you and Astor agree that any dispute, claim, or controversy arising from or relating to these Terms or the operation of the platform (excluding investment advisory services) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court.
Class Action Waiver: You agree to arbitration on an individual basis for platform-related disputes. You waive any right to participate in a class action or representative action against Astor for such disputes. This means disputes must be arbitrated individually and cannot be consolidated with claims of other users. This waiver does not apply to disputes governed by the IAC.
Small Claims Court Exception: Notwithstanding the above, either party may bring an action in small claims court if the claim is within the jurisdiction and monetary limits of that court.
Preservation of Legal Rights: Nothing in this arbitration provision is intended to waive any rights that cannot be waived under applicable securities laws, including rights under the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, or state securities laws to the extent such waiver is prohibited by law.
Governing Law:
These Terms of Service (relating to platform and technology) shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
The investment advisory relationship and all matters arising from investment services, advice, or recommendations are governed by the law specified in the Investment Advisory Contract, which is the law of the state where you reside.
In the event of any conflict between these Terms and the IAC regarding the advisory relationship, the IAC shall control.
Arbitration Procedures: The arbitration shall be conducted in English. The arbitrator shall issue a written decision stating the factual and legal basis for the decision. Costs of arbitration shall be allocated as determined by the AAA rules. Each party shall bear its own attorney's fees unless otherwise provided by law.
16. Changes to Terms
Astor reserves the right to modify these Terms at any time. Changes become effective immediately upon posting to the website or when notice is sent to you via email. Your continued use of the Services after notice of changes constitutes your acceptance of the modified Terms.
If you do not agree to any modification of these Terms, you must stop using the Services and may cancel your subscription. We encourage you to review these Terms periodically to stay informed of any changes.
17. Termination
Either party may terminate the agreement to use the Services at any time with or without cause. You may terminate by canceling your subscription through your account or by contacting support@astor.app. Astor may suspend or terminate your account or access to the Services immediately, without notice, if:
You violate any provision of these Terms
You engage in conduct harmful to Astor or other users
You provide false or fraudulent information
We are required to do so by law or regulation
You do not respond to payment issues or disputes
Effect of Termination: Upon termination, your right to access and use the Services immediately ceases. You remain responsible for any fees owed through the date of termination. Refunds for prepaid fees are governed by Section 5 (Subscription and Fees) of these Terms and, for advisory clients, the Investment Advisory Contract.
Survival: The following provisions shall survive termination: Intellectual Property, User Conduct, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and any other provisions that by their nature are intended to survive termination.
18. Regulatory Disclosures
SEC Registration: Gaus, Inc. is an SEC-registered investment adviser with CRD #338424. SEC registration does not imply a specific level of skill, training, or competence. Information about Gaus, Inc.'s registrations and qualifications is available on the SEC's Investment Adviser Public Disclosure (IAPD) website at adviserinfo.sec.gov.
Not FDIC Insured: The Services and any assets held are not insured by the Federal Deposit Insurance Corporation (FDIC). This means your deposits, assets, and investments are not protected by FDIC insurance.
Not a Bank: Astor is not a bank. We do not accept deposits, make loans, or provide banking services. Any custodian or broker used to hold assets is a separate entity and is responsible for the safety and security of assets held with them.
Form ADV and Form CRS: Gaus, Inc. files Form ADV Part 1 and Part 2 with the SEC. Our Form CRS (Customer Relationship Summary) is available upon request and provides important information about our firm and the services we offer. You may request copies of these forms by contacting support@astor.app or visiting adviserinfo.sec.gov.
Investment Advisory Contract (IAC): If you become a client of Astor's advisory services, you will enter into a separate Investment Advisory Contract with Gaus, Inc. that governs the terms of the advisory relationship, including services provided, fee schedule, authority, and termination provisions. The IAC is a standalone agreement and is not superseded by these Terms.
Regulatory Compliance: Astor operates in compliance with the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and other applicable federal and state securities laws and regulations. As disclosed in our Form ADV Part 2A, Gaus, Inc. has a fiduciary duty under the Investment Advisers Act of 1940 with respect to all client accounts.
Risk Disclosure: All investments involve risk, including possible loss of principal. Past performance does not guarantee future results. Investment returns and principal value will fluctuate so that an investor's shares, when redeemed, may be worth more or less than their original cost.
