1. Program Overview
Astor's Referral Program lets eligible Astor subscribers ("Promoters") earn subscription credits by referring new users to Astor. Participation is voluntary and subject to these Referral Program Terms (the "Terms"). These Terms are governed by, and supplement, the Astor Terms of Service. In the event of a conflict between these Terms and the Astor Terms of Service with respect to the Referral Program, these Terms control.
2. Eligibility
To participate, you must be a current Astor subscriber in good standing with an active paid subscription (Astor Pro or Astor Max). You must not be subject to any disqualification event described in Section 203(e) of the Investment Advisers Act of 1940 or any related SEC or state securities regulatory order. By participating, you represent and warrant that you are not an "ineligible person" as defined in Rule 206(4)-1(e)(7) under the Investment Advisers Act of 1940. Astor reserves the right to verify eligibility and to terminate your participation at any time for any reason.
3. How the Program Works
Each Promoter receives a unique referral code to share. A qualifying referral occurs when a new user signs up for a free trial of Astor using your referral code. After three qualifying referrals, you earn a credit equal to one free month of your current subscription tier (valued at $14.99 for Astor Pro or $39.99 for Astor Max). Credits are applied automatically to your next billing cycle. Credits have no cash equivalent and are non-transferable and non-refundable.
4. Important Disclosures
You are receiving compensation from Gaus, Inc., d/b/a Astor, for referring new users to the platform. The compensation you receive (a subscription credit valued at $14.99 or $39.99, depending on your subscription tier) creates a conflict of interest because you have a financial incentive to recommend Astor regardless of whether the service is appropriate for the person you are referring.
Astor will provide disclosures to each person referred through the program, via the in-app Referral Landing Page presented to each Referred User, informing them that (i) the referrer is a current Astor client, (ii) the referrer receives compensation for the referral, (iii) the arrangement creates a conflict of interest, and (iv) the material terms of the compensation arrangement, including the dollar value of the subscription credit.
5. Program Rules
As a Promoter, you agree to the following:
You may share your referral code through social media, messaging apps, email, or other personal channels.
You must not make false, misleading, or unsubstantiated claims about Astor's services, performance, or results.
You must not guarantee investment returns, imply that Astor guarantees any specific outcome, or make any statement that would violate the general prohibitions of Rule 206(4)-1(a) under the Investment Advisers Act of 1940.
You must not create content that could be mistaken for official Astor marketing materials.
Self-referrals, fake accounts, and any form of referral manipulation are prohibited and will result in immediate termination from the program and forfeiture of earned credits.
Astor may monitor referral activity and referral-related communications for compliance with these Terms.
6. Modification and Termination
Astor may modify, suspend, or terminate the Referral Program or these Terms at any time, with or without notice. Astor may terminate your participation at any time for any reason, including suspected abuse or non-compliance.
Earned but uncredited referral credits at the time of termination will be honored, unless termination is for cause (including abuse, fraud, or material breach of these Terms), in which case those credits will be forfeited.
7. Limitation of Liability
Astor's total liability under the Referral Program is limited to the value of subscription credits earned by you. Astor is not liable for any indirect, incidental, or consequential damages arising from your participation in the program.
8. Dispute Resolution
Before initiating arbitration, you and Astor agree to attempt informally to resolve any dispute arising under these Terms for a period of 30 days, beginning when one party gives the other written notice of the dispute. If the dispute is not resolved within that 30-day period, either party may initiate arbitration.
Any disputes arising under these Terms will be resolved by binding arbitration administered in San Francisco, California, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action or class arbitration.
